Terms of Use

1. Acceptance of These Terms

These Terms of Use govern your access to and use of SubLoop, including the web application, mobile application, onboarding pages, job workflows, document tools, messaging, calendar features, and related services. By creating an account, accepting an invitation, submitting onboarding information, signing a W-9, accepting a job, or using the service, you agree to these Terms.

2. Who May Use the Service

The service is intended for businesses, subcontractors, contractors, project managers, and crew members involved in roofing and construction operations. You must be legally able to enter into a binding agreement and must provide accurate account, business, tax, and contact information.

3. Accounts and Security

You are responsible for maintaining the confidentiality of your login credentials and for all activity under your account. You must promptly notify us of suspected unauthorized access. We may suspend or restrict access if we believe an account is compromised, violates these Terms, or creates risk for another user, company, or the service.

4. Contractor Relationship

SubLoop is an operational software tool. Unless a separate written agreement says otherwise, SubLoop does not create an employment, agency, partnership, joint venture, franchise, or fiduciary relationship between users. Job assignments, pricing, payment terms, scopes of work, warranties, insurance obligations, and performance obligations remain between the parties using the service.

5. W-9, Tax, and Payment Administration

The service may allow users to provide tax reporting information, complete or upload Form W-9, upload insurance documents, and provide payment preferences. You are responsible for the accuracy of information you submit. SubLoop does not provide tax, legal, insurance, or accounting advice. Consult your own professional advisor before relying on any tax, payment, or compliance workflow.

6. Documents and Electronic Signatures

You agree that electronic records, checkboxes, typed names, signatures, timestamps, IP address records, and audit logs may be used to show consent, submission, acceptance, or signature where permitted by law. You agree not to submit documents that are false, misleading, unauthorized, infringing, malicious, or unrelated to legitimate work on the platform.

7. User Content and Permissions

You retain ownership of documents, photos, messages, pricing files, W-9 materials, job notes, and other content you submit. You grant SubLoop a limited right to host, process, transmit, display, and use that content as needed to operate, secure, support, and improve the service and to provide workflows requested by you or your company.

8. Acceptable Use

You may not misuse the service, attempt unauthorized access, bypass role permissions, scrape data, upload malware, interfere with service operation, impersonate another person, submit false tax or payment information, or use the service for unlawful or deceptive activity.

9. Third Party Services

The service may integrate with third party services such as Supabase, Google, Apple MapKit, Resend, document tools, storage providers, email providers, and payment or payout providers. Your use of those integrations may also be subject to third party terms and privacy practices.

10. Privacy

Our Privacy Policy explains what information we collect, how we use it, how we share it, how long we retain it, and how users can request access, correction, or deletion. By using the service, you acknowledge the Privacy Policy.

11. Operational Communications

You agree that SubLoop may send operational or relationship communications about account access, onboarding, team invites, job activity, tax documents, compliance requests, payments, security, and support. Notification preferences may limit optional notices, but required operational, account, security, tax, and job critical messages may still be sent.

12. Availability and Changes

We may update, suspend, limit, or discontinue features. We may update these Terms from time to time. Material changes will be posted in the app or otherwise made available. Continued use of the service after changes become effective means you accept the updated Terms.

13. Disclaimers

The service is provided on an as is and as available basis. To the maximum extent permitted by law, we disclaim warranties of merchantability, fitness for a particular purpose, non infringement, uninterrupted availability, and error free operation.

14. Limitation of Liability

To the maximum extent permitted by law, SubLoop will not be liable for indirect, incidental, consequential, special, exemplary, or punitive damages, or for lost profits, lost revenue, lost data, business interruption, or substitute services.
